The Board of Directors proposes to the Supervisory Board and the Annual General Meeting of shareholders (AGM) that, of Wincor Nixdorf AG’s final distributable net profit of € 46,084,064.94, the sum of € 34,739,237.40 (equivalent to € 2.10 per share) be distributed to shareholders, payable immediately following the AGM on February 21, 2006. The residual profit (€ 11,344,827.54) is to be carried forward.
